General Terms and Conditions (GTC) of Second Reef

1. Scope
The following General Terms and Conditions govern the contractual relationships between Second Reef and its customers in connection with the sale of products and the rental of equipment. Deviating or supplementary conditions of the customer shall not apply unless Second Reef has expressly agreed to them in writing.

2. Offer and Conclusion of Contract
Our offers are non-binding and may be withdrawn by Second Reef at any time. A contract is only concluded by written confirmation or by the delivery of the ordered products or rented equipment.

3. Warranty and Guarantee
All products are subject to a one-year warranty from the date of purchase. Second Reef shall not be liable for damages resulting from improper use or normal wear and tear. The warranty covers only the repair or replacement of defective products at our discretion.

4. Deposit and Payment Terms
A deposit of 10% of the total amount is required for each Purchase Order, which will be offset against the final product invoice. Payment shall be made in accordance with the agreed payment terms. In case of late payment, Second Reef reserves the right to charge default interest in accordance with statutory provisions.

5. Shipping and Insurance
Shipping is uninsured and at the customer’s expense unless otherwise agreed. Second Reef assumes no liability for lost or damaged shipments during transport. The customer has the option to purchase insurance for shipping to minimize their risk.

6. Return of Products
All items are non-returnable unless there is a demonstrable defect in accordance with applicable warranty provisions.

7. Equipment Rental
When renting equipment, the customer is required to adequately insure it. Second Reef reserves the right to request proof of insurance before rental. The customer is fully responsible for any damages or losses during the rental period.

8. Changes to the GTC
Second Reef reserves the right to amend these General Terms and Conditions at any time. The amended conditions will be communicated to the customer in writing in a timely manner and shall take effect from the date of their publication on our website, unless otherwise agreed.

9. Severability Clause
Should individual provisions of these GTC be or become invalid in whole or in part, the validity of the remaining provisions shall not be affected thereby.

10. Applicable Law and Jurisdiction
All legal relationships between Second Reef and the customer shall be governed exclusively by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods. The place of performance and exclusive place of jurisdiction for all disputes, to the extent legally permissible, shall be the registered office of Second Reef.
